1. Who we are
CleanupLedger ("CleanupLedger", "we", "us", or "our") is a self-serve web tool that turns a QuickBooks Online data export into a cleanup diagnostic, a "books-health" score, the data-quality issues it flags (uncategorized transactions, duplicates, opening balance equity activity, missing payees, and more), an estimate of cleanup hours, a suggested quote range, and a client approval packet. By accessing our website or using the service, you ("you", "the customer") agree to these Terms of Service.
2. The service
You either upload a QuickBooks Online export (Transaction List by Date) for a free diagnostic, or connect your QuickBooks Online account through Intuit's official OAuth. When connected, CleanupLedger reads your data to build the diagnostic and, on a paid plan, proposes cleanup changes, categorizing uncategorized transactions, flagging duplicates and clearing Opening Balance Equity. No change is written to your QuickBooks account without your explicit approval, and every applied change is logged and can be reversed. The figures and issue counts are computed directly from your data by our software; categorization suggestions may use automated assistance, but you review and approve each change, nothing is written silently.
Uploaded files are analyzed in memory to produce your report and are not stored on our servers (see our Privacy Policy).
3. Diagnostic only, not professional advice
CleanupLedger provides diagnostic and workflow assistance only. It does not provide accounting, tax, audit, bookkeeping, or legal advice. The report is intended to support the professional judgment of a qualified bookkeeper, accountant, or ProAdvisor, not to replace it. You are responsible for independently verifying any findings before relying on them, quoting a client, or filing anything with any authority. We are not affiliated with, endorsed by, or sponsored by Intuit Inc. or QuickBooks.
4. Accuracy and report errors
The report and books-health check are generated automatically from the data you provide or that we read from your connected QuickBooks Online account. The output is only as accurate, complete, and current as that source data. If the underlying bookkeeping is incomplete, miscategorized, duplicated, or otherwise incorrect, the report will reflect those issues, "garbage in, garbage out."
We do not warrant that the report, its figures, its categorizations, or the issues it flags (or fails to flag) are accurate, complete, or error-free. The books-health check may surface false positives, may miss real problems, and is not a substitute for a full review by a qualified professional. You must independently review and verify the report before sending it to a client, relying on it, quoting work, or making any financial, tax, or business decision. To the maximum extent permitted by law, we are not responsible for any error or omission in a report, or for any loss, claim, or decision arising from one. Your sole remedy for dissatisfaction with the service is the refund described in Section 7 and our Refund Policy.
5. Performance and timing estimates
Statements about speed, turnaround, or convenience, for example, that you can "turn a QuickBooks export into a cleanup diagnostic in about a minute", are illustrative estimates of typical use, not guarantees. Actual time and results vary with file size, data quality, your QuickBooks setup, internet connection, and third-party services (such as Intuit and our payment provider). We do not guarantee any specific processing time, uptime, or uninterrupted availability, and we may change, suspend, or discontinue features at any time.
6. Plans and payment
The free diagnostic lets you see a file's books-health score, severity and full list of issues at no cost. Paid plans clean up the books after you connect QuickBooks: Fix (US$117, one-time per client, categorizes uncategorized transactions, flags duplicates and clears Opening Balance Equity, each change written only after you approve it) and Firm (US$39 per connected client, per month, everything in Fix on an ongoing basis, with monthly re-scans, always subject to your approval). Payments are processed by Polar (Polar Software, Inc.), our Merchant of Record; you can pay with most major debit or credit cards without creating an account. Prices are stated in US dollars. Any taxes are handled by Polar as the Merchant of Record and shown at checkout where applicable.
Fix is a one-time purchase, per client. Firm is a monthly subscription, billed per connected client; you may cancel at any time from your account, and cancellation stops future charges. We may add, change, or remove plans and prices at any time; the price shown at checkout is the price that applies to your purchase.
7. Refunds
We offer a 100% money-back guarantee on our paid products, described in full in our Refund Policy. If a paid diagnostic or pack does not help you, you may request a full refund of that charge within 14 days.
8. Your responsibilities
- You confirm that you have the right to share the data you submit, for example, that you are the business owner or an authorized bookkeeper/accountant acting for the client whose data you upload.
- You will not submit data you are not authorized to share.
- You will not use the service for any unlawful purpose or to violate the rights of any third party.
- You will not attempt to disrupt, reverse-engineer, or abuse the service or its infrastructure.
9. Communications and marketing
When you create an account or provide your email address (including on the Free plan or any sign-up form), you agree that we may contact you at that address about the service, including sign-in links, account and billing notices, and product news, tips, offers, and other marketing messages about CleanupLedger. You can opt out of marketing emails at any time using the unsubscribe link in those messages or by emailing hello@cleanupledger.com; we will still send essential account, security, and transactional messages. We do not sell your email address or share it with third parties for their own marketing. See our Privacy Policy for details.
10. Intellectual property
The report we deliver is yours to use within your own practice and with your own clients. The CleanupLedger name, website, methodology, and report templates remain our property. You retain ownership of the underlying financial data you submit.
11. Limitation of liability
To the maximum extent permitted by law, CleanupLedger's total liability arising from or relating to the service, including any report error, omission, inaccuracy, delay, or downtime, is limited to the amount you paid to us for the diagnostic or billing period giving rise to the claim (US$0 if you only used the free preview). We are not liable for indirect, incidental, special, or consequential damages, or for decisions you or any third party make based on the report or its timing. The service is provided "as is" and "as available" without warranties of any kind, whether express or implied (including merchantability, fitness for a particular purpose, accuracy, or non-infringement), except as expressly stated in our Refund Policy.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the service after a change constitutes acceptance of the updated Terms.
